This Data Processing Addendum ("Addendum") forms part of the Web Service Subscription Agreement ("Agreement") between Pixxell CMS ("Processor") and the Customer ("Controller") regarding the processing of personal data under the General Data Protection Regulation (GDPR) and other applicable data protection laws.
1. Definitions
- "Controller": The entity that determines the purposes and means of processing personal data.
- "Processor": Pixxell CMS, which processes personal data on behalf of the Controller.
- "Personal Data": Any information relating to an identified or identifiable natural person processed under this Addendum.
- "Data Subject": The individual whose personal data is processed.
- "Sub-Processor": Any third party appointed by Pixxell CMS to process Personal Data on behalf of the Controller.
2. Scope of Data Processing
- Pixxell CMS processes Personal Data solely to provide the Services described in the Agreement.
- The type of Personal Data and categories of Data Subjects are determined by the Controller.
3. Obligations of the Controller
- Ensure that all necessary permissions and consents have been obtained from Data Subjects.
- Provide documented instructions for data processing.
4. Obligations of the Processor
- Process Personal Data only on documented instructions from the Controller.
- Implement appropriate technical and organizational measures to protect Personal Data.
- Ensure that personnel authorized to process Personal Data are bound by confidentiality obligations.
- Assist the Controller in responding to Data Subject requests.
5. Sub-Processing
- Pixxell CMS may engage Sub-Processors as necessary to provide the Services.
- Pixxell CMS will ensure that Sub-Processors provide equivalent data protection measures as those specified in this Addendum.
6. Data Security
- Pixxell CMS will implement appropriate measures to protect Personal Data against accidental or unlawful destruction, loss, alteration, unauthorized disclosure, or access.
7. Data Breach Notification
- Pixxell CMS will promptly notify the Controller upon becoming aware of a Personal Data Breach.
- Pixxell CMS will assist the Controller in complying with its legal obligations regarding breach notification.
8. Data Transfers
- Pixxell CMS will not transfer Personal Data to countries outside the European Economic Area (EEA) without appropriate safeguards in place.
9. Data Retention
- Pixxell CMS will retain Personal Data only as long as necessary to provide the Services or as required by law.
10. Termination
- Upon termination of the Agreement, Pixxell CMS will delete or return Personal Data as instructed by the Controller unless further retention is required by law.
11. Governing Law
- This Addendum shall be governed by the laws of Germany and the European Union.
